1. Acceptance of Terms
By accessing our website at bestpartssales.com, submitting a request for quotation (RFQ), placing an order, or engaging with Best Parts Sales ("BPS", "we", "us", "our") in any business capacity, you ("Customer", "Buyer", "you") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms").
These Terms constitute a legally binding agreement between you and Best Parts Sales. If you do not agree with any part of these Terms, you must not use our services or place orders with us.
2. Definitions
- "Products" means industrial parts, components, equipment, safety devices, and related items supplied by BPS.
- "Services" means technical consultation, sourcing, procurement, logistics, and related professional services.
- "Order" means a purchase order or confirmed quotation for Products or Services.
- "Quotation" means a written price estimate provided by BPS in response to an RFQ.
- "Delivery" means transfer of possession and risk of Products to Customer or designated carrier.
- "Force Majeure" means events beyond reasonable control including natural disasters, war, pandemic, government restrictions, supplier failures, or transportation disruptions.
3. Order Process & Quotations
3.1 Request for Quotation (RFQ)
Customers may submit RFQs through our website, email, or phone. RFQs should include: part numbers or descriptions, quantities, delivery location, required delivery date, and any special requirements.
3.2 Quotation Validity
All quotations are valid for the period stated therein, typically 7 to 30 days from quotation date depending on market conditions and product availability. Prices are subject to change after expiration unless otherwise agreed in writing.
3.3 Order Confirmation
Orders are confirmed upon receipt of signed quotation acceptance and required payment. Verbal or email acceptance constitutes binding commitment subject to these Terms.
3.4 Minimum Order Value
Minimum order value is SAR 5,000.00 (USD 1,333.00). Orders below this threshold may be accepted at BPS's discretion with additional handling fees.
4. Payment Terms & Methods
4.1 Accepted Payment Methods
- Bank Transfer / Wire Transfer (Primary method)
- Letter of Credit (LC) for qualified corporate accounts
- Other methods as mutually agreed in writing
4.2 Standard Payment Terms
New Customers: 100% advance payment required before order processing and shipment.
Established Corporate Accounts: Payment terms negotiable based on credit history, order volume, and relationship duration. Terms may include:
- 100% advance payment
- 50% advance + 50% before shipment
- NET 30 days (qualified accounts only with credit approval)
- Other arrangements as mutually agreed
4.3 Payment Processing
Orders are processed upon cleared funds confirmation. Bank processing times typically 1-3 business days. Shipping commences after payment verification.
4.4 Currency & Exchange Rates
Quotations may be provided in SAR, USD, EUR, or other currencies. Exchange rate fluctuations exceeding 3% between quotation date and payment date may result in price adjustment.
4.5 Late Payment
Payment delays beyond agreed terms may result in order hold, interest charges, or order cancellation. Outstanding balances accrue interest at 2% per month or maximum legal rate, whichever is lower.
5. Pricing & Validity
5.1 Price Adjustments
Prices are subject to change based on: manufacturer price changes, currency fluctuations, shipping cost variations, tariff or tax changes, or material cost increases. Confirmed orders are protected at quoted price unless Force Majeure conditions apply.
5.2 Taxes & Duties
Prices typically exclude VAT, customs duties, import taxes, and other governmental charges unless explicitly stated as "delivered duty paid (DDP)". Customer is responsible for all applicable taxes and duties unless otherwise agreed.
5.3 Shipping Costs
Shipping costs are quoted separately unless included in "delivered" pricing. Express shipping (72-hour delivery) available at premium rates to GCC destinations.
6. Shipping & Delivery
6.1 Delivery Terms
BPS ships using Incoterms® 2020 standards. Common terms include:
- DAP (Delivered at Place): BPS arranges delivery to named destination; Customer handles import clearance and duties
- DDU (Delivered Duty Unpaid): Similar to DAP; Customer responsible for import duties
- DDP (Delivered Duty Paid): BPS handles all costs including duties and taxes to final destination
- EXW (Ex Works): Customer arranges and pays all transportation and clearance
6.2 Delivery Timeframes
Standard Products: 3-5 business days after payment confirmation (in-stock items)
Made-to-Order Products: 2-4 weeks depending on manufacturer lead time
Express Delivery (GCC): 72-hour delivery available for in-stock items with express shipping fees
6.3 Delivery Locations
BPS delivers to: Saudi Arabia, GCC countries (UAE, Qatar, Kuwait, Bahrain, Oman), and expanding to European Union, United States, and African countries. Shipping to additional destinations available upon request.
6.4 Risk of Loss
Risk of loss or damage transfers to Customer upon delivery to carrier (unless DDP terms apply). Customer should inspect shipments immediately upon receipt and report any damage or discrepancy within 48 hours.
6.5 Force Majeure Delays
BPS is not liable for delivery delays caused by Force Majeure events, customs holds, carrier delays, weather, or other circumstances beyond reasonable control. Customers will be notified of material delays promptly.
7. Warranty Policy
7.1 Standard Warranty Period
Products carry a 1-year manufacturer warranty from delivery date against defects in materials and workmanship under normal use and service. Warranty terms align with manufacturer warranty provisions.
7.2 Warranty Coverage
Warranty covers manufacturing defects, material failures, and workmanship issues that occur during normal operation when products are installed, operated, and maintained according to manufacturer specifications.
7.3 Warranty Exclusions
Warranty does NOT cover:
- Improper installation, operation, or maintenance
- Modifications or repairs by unauthorized parties
- Normal wear and tear or consumable items
- Damage from accidents, abuse, misuse, or neglect
- Environmental damage (corrosion, extreme temperatures, chemicals)
- Force Majeure events
- Products used beyond rated capacity or specifications
7.4 Warranty Claims
Warranty claims require: original invoice/proof of purchase, detailed defect description, photos/documentation, and return of defective product for inspection. Claims must be submitted within warranty period.
7.5 Warranty Remedy
BPS's sole obligation under warranty is, at our discretion: repair of defective product, replacement with equivalent product, or refund of purchase price. Customer is responsible for return shipping costs to BPS; BPS covers return shipping for warranted replacements.
8. Return & Refund Policy
8.1 Return Eligibility
Returns accepted under following conditions:
- Defective Products: Manufacturing defects covered under warranty (see Section 7)
- Incorrect Items Shipped: BPS error in order fulfillment
- Damaged in Transit: Damage occurring during shipment (must be reported within 48 hours of delivery with photographic evidence)
- Special Order Returns: Accepted on case-by-case basis with restocking fee
8.2 Non-Returnable Items
The following are NOT eligible for return:
- Custom-manufactured or special-order products made to customer specifications
- Electrical or electronic components with broken seals or evidence of installation
- Products damaged by customer misuse, improper storage, or installation
- Consumable items (filters, seals, gaskets) once opened
- Products purchased on clearance or "as-is" basis
8.3 Return Authorization Process
Step 1: Contact BPS within 48 hours of delivery to report defect or issue
Step 2: Provide order number, product details, photos/documentation of defect
Step 3: Receive Return Merchandise Authorization (RMA) number from BPS
Step 4: Return product in original packaging within 3-4 business days of RMA issuance
Step 5: BPS inspects returned product and processes refund/replacement
8.4 Return Shipping Costs
BPS Error or Defective Product: BPS covers return shipping costs using our preferred carrier
Customer Error or Change of Mind: Customer pays return shipping and restocking fee (if applicable)
8.5 Restocking Fee
A 35% restocking fee applies to returns for reasons other than BPS error or product defect, including:
- Customer ordered incorrect product
- Change of mind or project cancellation
- Special order returns (when accepted)
- Opened packaging on non-defective products
8.6 Refund Processing
Refunds processed within 5-7 business days after BPS receives and inspects returned product. Refunds issued via original payment method. Shipping charges are non-refundable unless return is due to BPS error or product defect.
8.7 Product Inspection Requirement
All returned products undergo inspection before refund approval. Products found to have customer-caused damage, improper installation evidence, or missing components may be rejected for refund. Customer will be notified with photographic evidence if return is rejected.
9. Limitation of Liability
9.1 Disclaimer of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING:
- Lost profits or revenue
- Equipment downtime or operational delays
- Business interruption losses
- Loss of data or information
- Cost of substitute products or services
- Loss of goodwill or reputation
9.2 Maximum Liability Cap
BPS's total cumulative liability for any claim, regardless of form of action (contract, tort, negligence, strict liability, or otherwise) shall not exceed the purchase price paid by Customer for the specific product(s) giving rise to the claim.
9.3 Technical Advice Disclaimer
Technical consultations, product recommendations, and application advice provided by BPS are for informational purposes only. Customer is solely responsible for: product selection suitability, proper installation, compliance with applicable standards and regulations, and safe operation. BPS is not liable for incorrect product selection or application.
9.4 Third-Party Products
BPS acts as distributor for third-party manufacturer products. While we carefully select suppliers, BPS makes no warranties beyond those provided by manufacturers. Manufacturer warranty terms apply to all products.
10. Intellectual Property
10.1 Website Content
All content on bestpartssales.com including text, graphics, logos, images, product descriptions, technical data, and software is the property of BPS or licensed third parties and protected by copyright, trademark, and other intellectual property laws.
10.2 Restricted Use
Customer may not: reproduce, distribute, modify, create derivative works, publicly display, republish, download, store, or transmit any website content except for personal, non-commercial use or as necessary for conducting business with BPS.
10.3 Trademarks
"Best Parts Sales", "BPS", and our logo are trademarks of Best Parts Sales. Product names and logos are trademarks of their respective manufacturers. Use of any trademarks without express written permission is prohibited.
11. Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the country where the transaction occurs and where products are delivered, without regard to conflict of law principles. For Saudi Arabia deliveries, Saudi Arabian commercial law applies.
11.2 Amicable Resolution
In the event of any dispute, controversy, or claim arising from these Terms or any transaction, parties agree to first attempt resolution through good faith negotiation for a period of 30 days.
11.3 Arbitration
If negotiation fails, disputes shall be resolved through binding arbitration in accordance with international commercial arbitration rules. Arbitration proceedings shall be conducted in English language at a mutually agreed location or virtually.
11.4 Legal Fees
Prevailing party in any legal action or arbitration shall be entitled to recover reasonable attorneys' fees, costs, and expenses from the non-prevailing party.
12. General Provisions
12.1 Entire Agreement
These Terms, together with any written quotations, purchase orders, and invoices, constitute the entire agreement between parties and supersede all prior oral or written understandings, communications, or agreements.
12.2 Modifications
BPS reserves the right to modify these Terms at any time. Material changes will be posted on our website with updated "Last Modified" date. Continued use of our services after changes constitutes acceptance of modified Terms.
12.3 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, such provision shall be severed and the remaining provisions shall continue in full force and effect.
12.4 Waiver
Failure by BPS to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Waivers must be in writing and signed by authorized BPS representative.
12.5 Assignment
Customer may not assign or transfer any rights or obligations under these Terms without prior written consent of BPS. BPS may assign these Terms in connection with merger, acquisition, or sale of business.
12.6 Force Majeure
Neither party shall be liable for failure to perform obligations due to Force Majeure events including but not limited to: natural disasters, war, terrorism, pandemic, government restrictions, strikes, supplier failures, transportation disruptions, or other circumstances beyond reasonable control. Affected party must notify the other promptly with estimated resumption timeline.
12.7 Survival
Provisions regarding warranty, limitation of liability, intellectual property, dispute resolution, and any other provisions that by their nature should survive termination shall remain in effect after order completion or agreement termination.
